Terms of Service

Agreement of Services

OSiM is a registered business in Ontario, Canada. These terms outline the relationship between OSiM ("we," "us," or "our") and the client ("you," "your," or "Customer"). By engaging with OSiM for services, you agree to abide by these terms.

Warranties by OSiM Inc.

OSiM represents and warrants that it has the experience and ability to perform the services required by this Agreement professionally, competently, and in a timely manner. Our performance of this Agreement shall not infringe upon or violate the rights of any third party or any federal, provincial, or municipal laws.

Independent Contractor

OSiM operates as an independent contractor. We shall not enter into any contract or commitment on behalf of the Customer and are not entitled to any employment rights or benefits.

Confidentiality & Non-Disclosure

We acknowledge that this Agreement creates a confidential relationship between OSiM and the Customer. All confidential information, including business affairs, financials, methods of operation, and customer/vendor data, will remain protected. Copyright and Ownership

Except for the retained rights described below, all services and materials produced by OSiM on your behalf will become your property upon full payment of our invoices.

OSiM retains the right to:

• Use work produced for the Customer as part of our portfolio materials (both online and offline);
  
• Add your business to our client list; and
  
• Use your work in design competitions, publications, exhibitions, or other promotional purposes.

Any material or ideas submitted to you that you choose not to produce or for which you have not paid within 60 days of submission will remain OSiM's property. These materials may be submitted to other clients, provided they do not disclose any confidential information regarding your business or operations.

Out of Scope Work

Additional requests beyond the agreed-upon scope will be billed at our standard hourly rate of $130 per hour. Changes to project scope may impact timelines.

Timelines

Schedules and estimated timeframes are subject to change.

Fees & Alterations

Revisions, additions, or modifications beyond the initial project scope will be billed separately. Specific to website design, if content is provided in a non-digital format (e.g., printouts or flyers), we will charge an additional $130/hour for digitization.

Rushed or Prolonged Work

Any work required ahead of an agreed schedule or due to delays caused by the Customer will be subject to an additional fee of 50% of our hourly rate. If a project remains inactive for over 30 days due to waiting on Customer material or approvals, OSiM reserves the right to invoice the remaining project cost or the work completed up to that point.

Customer Approval

The Customer must appoint a representative with full authority to provide information and approvals. Final approval must be marked as "Approved" via email. Any corrections must be clearly identified before production can proceed.

Quality of Source Materials Provided by the Customer

Additional charges may apply if Customer materials are provided in a form that requires additional work to meet professional standards (e.g., converting low-resolution logos into vector files).

Production

If the Customer assumes production responsibilities, all proofs and prototypes must be reviewed and approved by OSiM before use. Hourly charges apply for advisory services during production.

Design Credits

The Customer agrees that OSiM may claim authorship of designs and receive editorial credit on published work. Written consent is required before removing or modifying our credits.

Fixing a Hacked Website

While OSiM provides marketing services, we do not include website security or recovery services within marketing contracts. However, we can assist in recovering hacked websites at a rate of $130/hour. Estimates will be provided before work begins.

Search Engine Optimization (SEO) Terms

By engaging OSiM for SEO services, you acknowledge that various factors may affect rankings, including:

• Prior "black hat" SEO tactics used on the website,
• Google penalties,
• Website blacklistings,
• Malware, phishing schemes, or other cybersecurity issues.
  

If issues affecting SEO are identified, OSiM will provide recommendations, which may require separate billable projects outside our standard SEO services. Any website design work that does not directly contribute to SEO will be treated as a separate project with a separate quote.

Digital Advertising (PPC) Terms

PPC services include campaigns across Google, YouTube, Facebook, Instagram, and other platforms. Ad changes within scope are allowed, but additional requests may be billed at our standard hourly rate. We may suggest campaign optimizations based on platform feedback.

Regular Content Update Service

It is the client's responsibility to provide content updates for their website. Our process ensures timely and efficient updates while maintaining accuracy.

Contract Duration and Cancellation

Our contracts operate on a rolling monthly basis. Customers may cancel services with 30 days’ written notice. If a payment is scheduled within this 30-day period, it remains due and payable.
